Terms of Service

1. General

1.1. This public offer (the “Offer”) is the official proposal of the Provider to enter into a contract for AI video, image, and audio generation through https://vividloop.app, including when the site is opened inside Telegram (the “Service”).

1.2. The Provider is ОсОО «Пэй Флоу», INN 9909762323, OGRN 326149-3301-ООО (the “Provider”).

1.3. The Customer is a person or a legal entity that accepts this Offer and uses the Service (the “Customer”).

1.4. The Offer is accepted when the Customer registers, signs in, tops up the balance, or uses any feature of the Service.

1.5. The laws of the Russian Federation apply to the relations of the parties.

2. Subject of the contract

2.1. The Provider generates content with artificial intelligence, and the Customer accepts and pays for the services under this Offer.

2.2. The Service provides:

• video generation from a text description;
• video generation from an image and other materials the selected model accepts;
• image generation;
• audio generation;
• templates and other features available in the Service.

2.3. Resolution, duration, format, and other parameters depend on the model and the settings the Customer chooses before the run. The Service shows the price of a run before it charges the balance.

3. Formation of the contract

3.1. The contract is formed when the Customer accepts the Offer.

3.2. Acceptance means full agreement with every term of the Offer.

3.3. By entering into the contract, the Customer confirms that they:

• have read the Offer;
• agree with its terms;
• have legal capacity, or are authorized to act for a legal entity.

4. Rights and obligations

4.1. The Provider shall:

• 4.1.1. Keep the Service available and working.
• 4.1.2. Process generation requests within the technical limits of the Service.
• 4.1.3. Deliver the result in the Service so the Customer can view and download it.
• 4.1.4. Keep the Customer’s information confidential as described in section 7.

4.2. The Provider may:

• 4.2.1. Suspend or stop the service if the Customer breaches the Offer.
• 4.2.2. Change, add, or remove features without prior notice.
• 4.2.3. Carry out maintenance and limit access while it lasts.
• 4.2.4. Change this Offer by publishing a new version on the site.

4.3. The Customer shall:

• 4.3.1. Use the Service in accordance with the laws of the Russian Federation and this Offer.
• 4.3.2. Pay for the services in full and on time.
• 4.3.3. Not create content that infringes third-party copyright, contains pornography, promotes violence, cruelty, or discrimination, contains extremist material, harms minors, includes false information about a real person, or otherwise breaks the law.
• 4.3.4. Not create deepfakes or fake images or videos of real people without their consent.
• 4.3.5. Not attempt unauthorized access to the Service or disrupt it.

4.4. The Customer may:

• 4.4.1. Use the Service within the available balance.
• 4.4.2. Contact support about the Service.
• 4.4.3. End the contract at any time by stopping use of the Service.

5. Price and payment

5.1. Generation prices and top-up packages are shown in the Service at the time of payment. There is no subscription: the Customer buys a balance top-up, and each generation is charged at the price shown before the run.

5.2. Services are paid by topping up the balance. A generation is charged from that balance.

5.3. The Provider may change prices. A new price applies to top-ups and generations started after the change. Balance that has already been paid for remains.

5.4. Top-up methods are shown on the payment screen. They may include bank cards, cryptocurrency, and, inside Telegram, Telegram Stars. The invoice currency is Russian rubles or US dollars, depending on the Customer’s choice and the available method.

5.5. The balance does not expire and is spent on generations while the Customer uses the Service.

5.6. Card payments are accepted by the Provider. The details are in section 14.

6. Refunds

6.1. A refund of money is available when:

• a payment failure charges the Customer twice;
• the Provider cannot perform the service and cannot return the charge to the balance.

6.2. If a generation fails because of a technical error on the Service side, the charged amount returns to the balance.

6.3. No refund is made:

• for content that was created successfully;
• when the Customer dislikes the result for reasons other than a technical failure;
• for unused balance at the Customer’s request.

6.4. A request to refund money must be sent to support within 30 days of the payment.

7. Privacy and personal data

7.1. The Provider keeps the Customer’s personal data confidential in accordance with Russian Federal Law No. 152-FZ of 27 July 2006 “On Personal Data”.

7.2. The Provider processes:

• the email address;
• the Telegram identifier, if the Customer signs in through Telegram;
• payment data;
• prompts, uploaded materials, and generated content.

7.3. The data is processed to provide the services and to improve the Service.

7.4. The Provider does not share personal data with third parties, except where sharing is required to provide the service (generation-model providers and payment services) or by the laws of the Russian Federation.

7.5. By using the Service, the Customer consents to this processing.

7.6. Cookies and web analytics are described on the Privacy page.

8. Intellectual property

8.1. The exclusive rights to the Service, its code, and its features belong to the Provider.

8.2. Rights to content created with the Service belong to the Customer from the moment it is created.

8.3. The Customer warrants that use of the generated content and of uploaded materials does not infringe third-party rights.

8.4. The Provider may use anonymized data about requests and generated content to improve the Service.

8.5. The Customer may not copy, modify, or use the Service’s code.

9. Liability

9.1. The parties are liable for a breach of the contract under the laws of the Russian Federation.

9.2. The Provider is not liable for:

• the artistic quality of generated content;
• a result that does not match the Customer’s expectations;
• temporary unavailability during maintenance;
• third-party actions that disrupt the Service;
• the Customer’s losses from using generated content.

9.3. The Provider’s liability is limited to the amount the Customer actually paid for the specific service.

9.4. The Customer is fully responsible for:

• lawful use of generated content;
• infringement of third-party rights while using the Service;
• unlawful generation requests.

9.5. If the Customer breaches clause 4.3.3 or 4.3.4, the Provider may block access to the Service without a refund.

10. Force majeure

10.1. A party is not liable for a full or partial failure to perform if it is caused by force majeure.

10.2. Force majeure includes natural disasters, war, changes in law, large-scale technical outages, acts of authorities, and similar events.

11. Disputes

11.1. The parties resolve disputes by negotiation.

11.2. If negotiation fails, the dispute goes to a court at the Provider’s location under the laws of the Russian Federation.

11.3. A written claim is required before a lawsuit. The response period is 30 calendar days.

12. Term

12.1. The contract starts when the Offer is accepted and lasts until the parties have performed their obligations.

12.2. Either party may terminate the contract by notice to the other party.

12.3. On termination the Customer may not demand a refund of unused balance.

13. Final provisions

13.1. This Offer is made under the laws of the Russian Federation.

13.2. The Provider may change the Offer. A new version takes effect when it is published on the site.

13.3. Continued use of the Service after publication means the Customer accepts the new version.

13.4. If a court holds one provision invalid, the remaining provisions stay in effect.
